In order to create a Limited Company in Cyprus, it is necessary to have at least one Director, Shareholder and Secretary. The procedure for setting up a Limited Company in Cyprus is as follows:

1. The proposed Company names are sent to Company House in Nicosia for approval. This may take approximately 2 weeks for the names to be approved / declined. It is therefore advisable for 3-5 names to be submitted in order to avoid delays.

2. When the approval of the names has been received, all the information required to register a Company, as referred to above, is submitted to Companies House by way of a document prepared and completed by one of the reputable Law Firms we work with, and signed by all the parties involved. This document will indicate who the Director(s), Shareholder(s) and Secretary will be, together with their personal data and the amount of shares to be held.

3. The memorandum of Articles of Association for the Company are then prepared by us and submitted with the requisite information on Director(s), Shareholder(s) and Secretary as aforementioned.

4. The Incorporated Company is sent back to us by the Companies Registry within approximately 3-5 weeks.

We can also offer “off – shelf” companies if required. In this instance the Company names have already been approved by Companies House, and the registration of a Company could be expedited. The fees for setting up a Limited Company in Cyprus vary.
